These Terms of Service ("Terms") govern creation and use of a Koodos account, the parent application, child-device applications, browser extension, paid subscriptions, related services, and public use of koodos.app (collectively, the "Services"). The Services are provided by Exotec Inc. ("Koodos," "we," "us," or "our"), located at 1606 N. Hale Ave, Fullerton, CA 92831, United States.
By creating an account, purchasing a Subscription, selecting "I agree," or using the Services, you agree to these Terms and acknowledge the Koodos Privacy Policy. If you accept for a company or another legal entity, you represent that you have authority to bind that entity. If you do not agree, do not create an account or use the Services.
For these Terms:
You must be at least 18 years old and legally capable of entering into these Terms to create a Parent Account or purchase a Subscription.
For each Child Profile you create, you represent that you are the child's parent or legal guardian, or that you otherwise have lawful authority to manage that child's devices and information and provide any required consent.
You may install or configure Koodos only on devices that you own, control, or have legal authority to manage. If a Managed Device is shared with another person, you are responsible for providing any notice and obtaining any consent required by applicable law before using Koodos on that device.
You must not use Koodos to monitor or control another adult without that person's knowledge and legally valid authorization, except where applicable law expressly permits you to act for that person.
Koodos allows Parents and authorized Family Members to configure features such as:
Koodos applies the configuration and instructions selected through the Parent Account. You are responsible for choosing and reviewing settings that are appropriate for your family and Managed Devices.
Koodos is intended to assist parents and guardians. No parental-control service can identify or prevent every inappropriate activity, application, website, device state, or attempt to bypass restrictions. Koodos does not replace active parental supervision.
You agree to provide accurate account information and keep it current.
You are responsible for protecting your password, parent PIN, recovery information, and access to your Parent Account. You are responsible for activity performed through your account unless caused by Koodos's failure to use reasonable security measures.
Notify us promptly at [email protected] if you believe your account, PIN, or Managed Device credentials have been compromised.
You are responsible for Family Members you invite and for removing their access when it is no longer appropriate.
Some Koodos features require operating-system permissions, including accessibility, device-administration, Screen Time, notification, local VPN, or related device-management permissions.
Koodos uses these permissions to provide the features described during setup and in the Privacy Policy. Disabling a required permission may prevent some Services from working correctly.
Koodos does not guarantee that permissions will remain enabled or that an operating-system update, device manufacturer, application, network, or other third party will not affect enforcement.
Eligible new customers may receive one 14-day free trial. A valid payment method is required to begin the trial.
To verify that an adult completed setup, Koodos may place a temporary authorization hold on the payment method. The authorization hold is not a Subscription charge and is released or cancelled after verification, although a financial institution may take additional time to remove it from an account statement.
When starting a trial, you select either a monthly or annual Subscription. Unless you cancel before the trial ends, the selected Subscription automatically begins when the trial expires and the payment method on file will be charged the price displayed at checkout.
Monthly Subscriptions renew automatically each month. Annual Subscriptions renew automatically each year. Each renewal is charged to the payment method on file at the then-current price disclosed to you, subject to any advance notice required by law.
Current monthly and annual fees, plan limits, and included features are displayed on the Koodos website, in the Parent App, and during checkout. The price, currency, taxes, promotion, and billing period shown during checkout control your purchase. If Stripe Checkout displays terms that conflict with the Koodos website or Parent App, do not complete the purchase and contact [email protected].
Trial eligibility is generally limited to one trial per customer. A returning customer or a customer who previously used a trial may be charged when a new Subscription begins without receiving another trial.
Subscription payments are processed by Stripe or another payment provider identified during checkout. Koodos does not directly receive or store complete payment-card details.
You authorize the payment provider to charge the payment method on file for the selected Subscription, applicable taxes, and renewals until the Subscription is cancelled.
You may manage or cancel a Subscription through the Koodos billing portal. If you cancel during a free trial, the Subscription does not begin and you will not be charged. After the trial has converted to a paid Subscription, cancellation takes effect at the end of the current billing period. You keep paid access until that date, and cancellation prevents charges for later renewal periods.
After the paid period ends, your Parent Account, Child Profiles, paired devices, and settings remain available, but Koodos management and enforcement features may stop operating until you resubscribe. Cancelling a Subscription does not automatically delete your Koodos account or family data.
If you believe a charge is incorrect or a paid Service did not work as promised, contact Koodos through Get Help in the Parent App or at [email protected]. Refunds and remedies are handled according to the circumstances and your mandatory rights under applicable law.
If payment fails, Koodos may retry the payment, provide a limited grace period, restrict paid features, or suspend the Subscription. We will not intentionally delete family data solely because a payment is temporarily past due without providing any notice required by law.
Deleting the Koodos application from a device does not cancel a Subscription. Deleting a Koodos account also does not automatically cancel a Subscription billed by Stripe, Google Play, or the Apple App Store. Cancel through the Koodos billing portal or the applicable app store, and confirm cancellation with the billing provider.
The Koodos Privacy Policy explains what information we collect, how we use and disclose it, how long we retain it, and how Parents and children may exercise applicable privacy rights. The Privacy Policy is incorporated into these Terms by reference.
Koodos does not sell family information or use child information for behavioral advertising.
We use service providers to operate Koodos, including providers for hosting, payments, notifications, application and video classification, customer support, security, and communications. These providers may process information for the services they provide to Koodos, subject to contractual and legal restrictions.
You may request information about Koodos's current material service providers by contacting [email protected].
You authorize Koodos to process information associated with your Parent Account, Child Profiles, Family Members, and Managed Devices as described in the Privacy Policy and your selected settings.
You may withdraw consent or request access, correction, export, or deletion where applicable by contacting [email protected]. Some withdrawal or deletion requests may prevent Koodos from continuing to provide all or part of the Services.
Certain website-filtering features use YouTube API Services to identify the public category assigned to a video. When those features are active, Koodos may send a YouTube video identifier to Google using Koodos's API credentials and receive public metadata such as the video's title, channel, and category. Koodos does not use this process to sign in to, or obtain authorization to access, a parent's or child's Google or YouTube account.
By using Koodos features that access YouTube API Services, you also agree to be bound by the applicable YouTube Terms of Service. Google handles information under the Google Privacy Policy. Google and YouTube are responsible for their own services and privacy practices. A parent selects the Koodos filtering rules, and Koodos applies those rules. A Koodos restriction is not a safety determination, recommendation, or endorsement by Google or YouTube. More information appears in the Koodos Privacy Policy.
Koodos may use Google Play information to classify installed Android applications. Koodos does not control the availability or accuracy of information supplied by Google or other application stores.
If you obtain a Koodos application through the Apple App Store, you acknowledge that these Terms are between you and Koodos only, and not with Apple, and that Apple is not responsible for the applications or their content. Apple has no obligation to provide maintenance or support for the applications. To the maximum extent permitted by law, Apple has no warranty obligation for the applications; if an application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund any purchase price you paid to Apple for that application (if any) and, to the extent permitted by law, will have no other warranty obligation. Apple is not responsible for addressing any claims relating to the applications, including product-liability, legal or regulatory, or intellectual-property claims. You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting," and that you are not on any U.S. Government restricted-party list. Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to your use of the Apple-distributed applications, and may enforce these Terms against you.
If you obtain a Koodos application through Google Play, your use is also subject to the Google Play Terms of Service, and Koodos, not Google, is responsible for the applications and support.
You must not:
The Services depend on operating systems, device manufacturers, application stores, networks, payment providers, and other third-party services that Koodos does not control.
Third-party terms may apply to those services. Koodos is not responsible for a third party's independent service, content, outage, or change, but this does not limit Koodos's responsibility for selecting and managing service providers as required by applicable privacy and consumer law.
Koodos may release updates to maintain security, compatibility, reliability, or functionality. Some updates may be required for continued use.
We may add, modify, or discontinue a feature. Where a change materially reduces a paid Service, affects your privacy choices, or changes these Terms, we will provide any notice or choice required by applicable law.
You may stop using Koodos at any time and may cancel your Subscription as described above.
We may suspend or terminate access if:
Where reasonable and legally permitted, we will provide notice and an opportunity to correct the issue before termination.
Termination does not automatically erase information that Koodos must retain for legal, security, billing, dispute, or backup purposes. Data is handled after termination according to the Privacy Policy and applicable law.
Koodos and its licensors own the Services, software, designs, trademarks, and related materials.
Subject to these Terms, Koodos grants you a limited, personal, revocable, non-exclusive, non-transferable license to install and use the Services on authorized Managed Devices for your family's non-commercial use.
If you provide feedback, you permit Koodos to use it to improve the Services without payment or attribution. This does not give Koodos ownership of your personal information or family data.
The Services are provided with reasonable care and skill. However, Koodos does not promise that the Services will be uninterrupted, error-free, compatible with every device, or capable of blocking every application, website, activity, or bypass attempt.
To the maximum extent permitted by law, any implied warranties not expressly stated in these Terms are excluded.
Nothing in these Terms excludes, restricts, or modifies a consumer guarantee, warranty, right, or remedy that cannot lawfully be excluded, restricted, or modified.
To the maximum extent permitted by law, Koodos is not liable for indirect, incidental, special, exemplary, punitive, or consequential loss that was not reasonably foreseeable when you accepted these Terms.
Koodos does not exclude or limit liability where doing so is prohibited by law, including liability arising from fraud, willful misconduct, gross negligence where it cannot be limited, or breach of a non-excludable consumer guarantee.
Subject to those exceptions, Koodos's total liability arising from the Services will not exceed the greater of:
Nothing in these Terms excludes, restricts, or modifies any mandatory consumer protection or privacy right available under the law that applies to you.
If you live in a jurisdiction with mandatory consumer protections, those protections apply in addition to these Terms. A provision of these Terms applies only to the extent it is enforceable where you live.
Nothing in these Terms waives a right or remedy that cannot be waived under applicable federal or provincial consumer-protection law. Québec customers may exercise the rights available under Québec law, and any choice-of-law, limitation, indemnity, renewal, or dispute provision applies only to the extent permitted there. Koodos will provide the French contract and related documents and obtain any express choice to use another language in the manner required by Québec law.
Our Services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms excludes, restricts, or modifies those guarantees or any remedy that cannot lawfully be excluded, restricted, or modified. Sections 15, 16, and 21 apply to an Australian consumer only to the extent permitted by the Australian Consumer Law.
Nothing in these Terms limits rights or remedies that cannot be excluded under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or other applicable New Zealand law. Subscription renewal and cancellation provisions apply only to the extent they are fair, transparent, and enforceable under that law.
Nothing in these Terms excludes rights or remedies that cannot be excluded under Singapore consumer-protection law, including remedies concerning unfair practices or services that do not conform to applicable statutory guarantees.
California residents. Under California law, you may report a complaint about the Services to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210. Your Subscription renews automatically as described in Section 6, and you may cancel at any time through the billing portal as described in Section 7.
Before starting formal proceedings, you and Koodos agree to make a reasonable effort to resolve the dispute by contacting [email protected].
If you are a consumer, you may bring proceedings in any court or tribunal available to you under applicable law. Nothing in these Terms deprives you of the protection of mandatory consumer law in the place where you live.
Nothing in these Terms prevents you from contacting a privacy, consumer-protection, or other regulator, or from using a court or tribunal available to you under mandatory local law.
We may update these Terms to reflect changes to the Services, law, security, or business operations.
For material changes, we will provide reasonable advance notice through the Services, email, or another appropriate method. Where required by law, we will request renewed agreement rather than treating continued use as acceptance.
The effective date at the top identifies the current version.
These Terms and the Privacy Policy form the agreement between you and Koodos concerning the Services.
If a provision is found unenforceable, the remaining provisions continue to apply. A failure to enforce a provision is not a waiver. You may not transfer your account or rights under these Terms without our written approval. Koodos may transfer these Terms as part of a merger, acquisition, corporate reorganization, or sale of its business, subject to applicable law.
Sections that by their nature should continue after termination, including payment obligations, intellectual property, liability, disputes, and lawful retention, will survive termination.
To the maximum extent permitted by the law that applies to you, you agree to defend, indemnify, and hold harmless Koodos and its officers, employees, and service providers from claims, liabilities, damages, and reasonable expenses (including reasonable legal fees) arising from your use of the Services in violation of these Terms or applicable law, your management of a device or person you were not authorized to manage, or your unlawful use of information obtained through the Services. This section does not apply to the extent a claim results from Koodos's own breach or from conduct that cannot lawfully be shifted to you, and it does not limit your non-excludable rights as a consumer.
You agree that Koodos may communicate with you electronically about your account, security, billing, and the Services, including by email to the address on your account and by in-app notice, and that these communications satisfy any legal requirement that a communication be in writing. We may send service and administrative messages even if you have opted out of marketing messages. You may ask us to provide a particular notice in another form where the law gives you that right. Notices to Koodos should be sent to the contact addresses in Section 25.
Koodos is not responsible for a failure or delay in performance caused by events beyond its reasonable control, including acts of nature, power or network failures, denial-of-service or other attacks, changes made by operating-system, device, or platform providers, or government action. This section does not limit your payment obligations or any non-excludable rights you have as a consumer.
You may not use or export the Services in violation of applicable export-control or sanctions laws. You represent that you are not located in a country or territory subject to a comprehensive U.S. Government embargo, and that you are not listed on any applicable restricted-party or sanctioned-party list.
